Terms of Service
1. Agreement
These Terms of Service (“Terms”) are a contract between you (the individual submitting a form, and the business you represent) and Vondant, LLC, a Utah limited liability company (“Vondant,” “we,” “us,” or “our”).
They govern access to vondant.com (the “Site”), the SOMAS Architectural Diagnostic Audit intake, and the Agentic AI Enablement Masterclass. By using the Site or submitting a form, you agree to these Terms and to our Privacy Policy.
If you are using the Site on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Site or submit a form.
Larger advisory, fractional-architecture, or implementation work is not sold on this Site. That work, if we take it on, is governed by a separate written agreement or statement of work. These Terms do not create that engagement.
2. Who may use the site
The Site is offered to business professionals, typically engineering and technology leaders, acting in a commercial capacity. You must be at least 18 years old. We do not offer consumer household services, and we may refuse or cancel an intake or booking that appears to be submitted in a personal rather than commercial capacity, or that we reasonably believe is fraudulent or abusive.
3. The site
We provide the Site on an “as is” basis. Content on the Site — including descriptions of DORA metrics, architectural pillars, and AI-enablement methods — is general information, not a promise of results for your organization and not legal, security, or compliance advice.
We may change, suspend, or discontinue any part of the Site. We are not obligated to keep historical versions of marketing copy available.
4. SOMAS diagnostic
The SOMAS intake is a structured, self-reported questionnaire. Submitting it requests a preliminary diagnostic framework and the opportunity to schedule a review call. It is complimentary unless we tell you otherwise in writing before you submit.
SOMAS is not a security audit, penetration test, legal opinion, regulatory certification, or implementation project. It is based on the information you provide. We do not independently verify that information unless we agree to in a later engagement. A reference number on the confirmation screen is an intake receipt, not an acceptance of a paid statement of work.
We may decline to proceed after reviewing an intake. Submitting an intake does not reserve calendar time until a call is actually booked.
5. Masterclass
The Agentic AI Enablement Masterclass is a 90-minute live remote workshop for a single team engagement, capped at ten stakeholders, at a flat fee of USD $5,500 unless a different amount is stated at checkout. The fee is per engagement, not per seat. Format is live remote (Microsoft Teams or Zoom, as we confirm at scheduling).
The Masterclass is an educational and advisory working session. It is not custom software, not a tools license, and not an implementation retainer. We do not guarantee specific DORA-metric improvements or other business outcomes. Materials we provide are for the internal use of the purchasing organization.
After payment, we send onboarding details and a scheduling link to the work email you provided. You are responsible for proposing times and for ensuring the attendees can join. If you do not schedule within ninety (90) days after payment, we may treat the engagement as cancelled under Section 7, or we may agree in writing to hold the fee for a later date.
6. Payment
Masterclass fees are due in advance through Stripe Checkout. Prices are in U.S. dollars and exclusive of any taxes that may apply. You authorize Stripe to charge the payment method you provide. A payment is complete when Stripe confirms it to us.
We never receive your full card number. Failed, reversed, or charged-back payments may result in cancellation of the engagement. You agree to provide accurate billing and contact information.
7. Cancellation, rescheduling, and refunds
This Section 7 applies to the Masterclass. SOMAS intakes are not a paid product and have no refund.
Before a session date is confirmed. Until we have confirmed a calendar date with you, you may request a full refund of the amount paid.
Seven days or more before the session. If you cancel at least seven (7) full days before the scheduled start time (using the time zone of the confirmed session), we will refund the amount paid in full.
Inside seven days. If you cancel fewer than seven (7) full days before the scheduled start time, we will refund eighty percent (80%) of the amount paid. The remaining twenty percent is a cancellation fee for reserved delivery time.
After the session starts; no-show. Once the session has started, or if the purchasing organization does not attend, the fee is earned and is not refundable.
Rescheduling. You may reschedule once, at no charge, if you give us at least forty-eight (48) hours’ notice before the scheduled start. Further reschedules are at our discretion and may be treated as a cancellation under this Section.
If we cancel. If Vondant cancels, you choose a full refund of the amount paid or a reschedule at no additional fee.
Refunds are issued to the original payment method. Stripe’s timing applies; we initiate refunds promptly after a valid request. Email info@vondant.com to cancel or reschedule. Utah law does not provide a cooling-off or cancellation right for this kind of business-to-business professional service beyond what we grant here.
8. Confidentiality
Information you submit in a SOMAS intake, in Masterclass discussion, or by email — including architecture, delivery constraints, and internal goals — is confidential. We will not disclose it except to the service providers named in the Privacy Policy as needed to deliver the engagement, to professional advisors under confidentiality, or as required by law. We will not use it in marketing or case studies without your prior written consent, and we will not use it to train machine-learning models.
You agree not to share our non-public materials, session recordings (if any), or pricing arrangements publicly without our consent. Live sessions are not recorded unless both parties agree in writing beforehand.
Confidentiality does not cover information that is public through no fault of the receiving party, independently developed, or rightfully received from a third party without a duty of confidence.
9. Intellectual property
The Site, Vondant name and wordmark, SOMAS framework, Masterclass curriculum, and our other materials are owned by Vondant or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Site and, if you purchase the Masterclass, to use the session materials internally inside the purchasing organization. You may not copy the Site, resell the Masterclass, or present our materials as your own.
You retain ownership of the information you submit. You grant Vondant a limited license to use that information solely to provide the intake, diagnostic, Masterclass, and related follow-up, and to maintain business records.
10. Acceptable use
You will not: misuse the forms; submit malware or automated traffic (except ordinary accessibility tools); attempt to probe or disrupt the Site; impersonate another person; submit information you do not have the right to share; or use the Site for anything unlawful. We may block submissions or IP addresses that appear abusive.
Do not include passwords, production secrets, personal data of employees beyond the business contact you name, or special-category personal data in a SOMAS answer. We do not need it to run the diagnostic.
11. Third-party services
Payment runs through Stripe. Scheduling links point to Cal.com. Bot protection uses Cloudflare Turnstile. Your use of those services is also subject to their terms. We are not responsible for a third-party site’s availability or practices, except to the extent a non-waivable law says otherwise.
12. Disclaimers
To the fullest extent permitted by Utah law, the Site and the services offered on it are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be uninterrupted or error-free, that a diagnostic will identify every issue in your environment, or that attending the Masterclass will produce any particular operational result.
13. Limitation of liability
To the fullest extent permitted by law, Vondant and its members, managers, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
Our total liability arising out of or relating to the Site or an engagement under these Terms will not exceed the amounts you paid us for that engagement in the twelve (12) months before the claim (or, if you have paid nothing, one hundred U.S. dollars). For the Masterclass, that cap is the fee actually paid for that Masterclass.
These limits do not apply to liability that Utah law does not allow to be limited, including liability for our fraud or willful misconduct. Some of these allocations of risk are an essential basis of the bargain for a small professional practice offering a defined, prepaid session.
14. Indemnity
You will defend and indemnify Vondant against claims, damages, and reasonable legal fees arising out of: (a) information you submit that you were not authorized to share; (b) your misuse of the Site or of Masterclass materials; or (c) your violation of these Terms or of applicable law. We will notify you promptly of a claim and will not settle it in a way that admits your fault without your consent, not to be unreasonably withheld.
15. Governing law and venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. The state and federal courts located in the State of Utah have exclusive jurisdiction, and you and we consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before filing a lawsuit, please write to info@vondant.com and allow thirty (30) days to try to resolve the dispute in good faith, except that either party may seek provisional relief to protect intellectual property or confidential information.
16. Changes
We may update these Terms by posting a new version on this page with a new effective date. Continued use of the Site after that date is acceptance of the updated Terms. For a Masterclass already paid for, the Terms in effect when Stripe confirmed payment govern that engagement, including Section 7, unless you agree otherwise in writing.
17. General
These Terms, together with the Privacy Policy and any written confirmation we send after payment, are the entire agreement for the Site, SOMAS intakes, and the Masterclass. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. There are no third-party beneficiaries. Headings are for convenience only. “Including” means “including without limitation.”
If you need a signed paper copy or a different venue, tax treatment, or statement of work, email info@vondant.com before paying. We can document those changes in writing; a purchase through the Site is on these Terms.
